Conditions of Sale

These Conditions of Sale apply to Pedrollo Distribution Ltd, referred to below as “the Company”. By placing an order, the purchaser accepts these conditions.

Prices

Prices may change without notice. Unless we agree otherwise in writing, the price will be the price in place on the date of dispatch. Prices do not include carriage or VAT. The invoice will show all relevant trade and cash discounts. The minimum invoice value is £50 net. Quotations remain valid for 30 days from the date of issue.

Payment terms

Approved credit accounts must pay within 30 days from the end of the invoice month. Payment on time is an essential part of the contract. If the purchaser does not pay by the due date, the Company may take one or more of the following actions: Approved credit accounts must pay within 30 days from the end of the invoice month. If the purchaser does not pay by the due date, the Company may charge monthly interest on the unpaid balance at 3% above the Bank of England base rate.

The Company may treat part of a month as a full month when calculating interest. In addition, the Company may charge recovery costs, including legal costs, bank charges and related fees. The Company may also add 12% to the debt for recovery costs.

The Company may require payment before dispatching any undelivered goods. It may also refuse delivery of undelivered goods without accepting liability for delay or non-delivery. Finally, the Company may cancel the contract or any other contract with the purchaser. These actions do not affect any other rights or remedies available to the Company.

Delivery

We give delivery times in good faith. However, delivery time is not an essential part of the contract. The Company accepts no liability for loss, damage or consequential loss caused by delayed delivery.

We may pass on customs and duty charges linked to international imports. This applies even if our quotation did not mention those charges. The buyer must provide clear delivery instructions.

If poor or missing instructions cause extra delivery or redelivery costs, the buyer must pay those costs. The buyer must also make sure someone is available to accept and offload the delivery. If the carrier cannot deliver because no one is present, the buyer must pay any extra costs.

Cancellations

The purchaser must cancel orders for stock items in writing. We only accept returned stock items if they are in new condition, returned within 30 days of purchase and suitable for resale. Returned stock items will be subject to a 20% restocking charge. Orders made to a customer’s specification cannot be cancelled. This includes, but is not limited to, non-UK standard voltage or frequency products. The purchaser must pay for these special-order items in full.

Carriage

Quoted prices exclude carriage and packing. Carriage charges apply to delivery to a business address. We do not deliver to private addresses unless the address is the account invoice address.

If we are misled into delivering elsewhere, we accept no responsibility for proof of delivery. The purchaser must report shortages or transit damage by phone or email when the goods arrive. Photographic evidence must be provided within two days of delivery. We will not accept claims made after this period.

Title of goods

The Company keeps ownership of the goods until the purchaser has paid all money owed in full. Until ownership passes to the purchaser, the purchaser holds the goods on behalf of the Company. The purchaser must keep the goods safe, insured and protected from loss or damage. The purchaser may use the goods for normal business purposes.

However, the goods must be stored separately and clearly identified. If the purchaser combines the goods with other goods, the Company keeps ownership of the combined goods. The purchaser must also store and identify those combined goods clearly. The Company may repossess all or part of the goods or combined goods if needed. The purchaser must allow the Company access to the premises to retrieve them.

Information and specifications

We provide information and specifications in good faith. This includes photographs, drawings, diagrams and advice. However, this information does not form part of the contract. Customers must check that a product is suitable for their application.

The Company gives no performance guarantees beyond those offered by the manufacturer. The Company may change specifications following manufacturer updates or other new information.

Warranty

Products carry a warranty of at least 12 months from the date of our invoice against manufacturing defects. The manufacturer will advise whether a warranty item should be repaired or replaced. The warranty covers UK voltage products installed within the UK only.

The warranty does not cover use outside manufacturer guidelines, failure to follow instructions, normal wear and tear, unsuitable installation, misuse or incorrect application. Customers should report possible warranty failures as soon as possible.

They must obtain authorisation before returning any product. Returned items must be sent carriage paid for inspection at our works. Customers must provide full details of the fault, installation and proof of purchase. Without this information, we may not consider the claim. The Company accepts no responsibility for consequential loss or liquidated damages caused by the use or failure of any product.

Statutory rights

Nothing in these terms affects your statutory rights.
